主要職責：（基本功能）Principal Responsibilities:(Essential Functions)
· 從法律的角度，為在上海、江蘇和浙江的外商直接投資架構提供建議；
Advising on Foreign Direct Investment structures in regions of Shanghai, Jiangsu and Zhejiang from legal perspective;
· 就外商直接投資所涉及的各種行業進行法律研究；
Conducting legal research in various industries relevant to foreign investment in China;
· 獨立處理外商投資企業的設立、變更和注銷（例如WFOE、FICE、JV、RO、branch等）；
Dealing with incorporation, alteration and de-registration of Foreign Invested
Enterprises (e.g. WFOE, FICE, JV, RO, Branch, etc.) independently;
· 根據要求參與合并和收購項目及盡職調查；
Participating in Merger & Acquisition projects and due diligence investigations projects according to the requirements ;
· 起草和審閱與客戶項目相關的各種協議及合同；
Drafting and reviewing a variety of agreements/contracts relating to clients’ projects;
· 協助代表客戶進行商務談判；
Assisting in commercial negotiations on behalf of clients;
· 解決外商投資企業在當地政府部門遇到的問題；
Solving problems encountered at local government authorities for Foreign Invested Enterprises;
· 處理與勞動相關的問題和糾紛；
Dealing with labor related matters and disputes;
· 在中外合資（合作）爭端解決中給出建議；
Advising on sino-foreign disputes settlement;
· 協助處理知識產權項目，如商標注冊和復議，專利注冊、知識產權戰略分析；
Assisting to Handle IP projects, e.g. trademark registration and appeal, patent
registration, IPR strategies;
· 對于上述事項，向部門初級顧問提供指導；
Providing guidance to Junior Associates of the Division on the matters stated above;
· 協助上級進行團隊管理和客戶維護；
Assisting the supervisor with team management and clients maintenance;
· 部門負責人分配的其他工作
Other work assigned by Department Head.

技能skills
· 在公司法及外商投資相關法律方面具有扎實的法律知識；
Solid legal knowledge on corporate laws and foreign investment related legislations;
· 精通英語閱讀、口語、寫作和聽力；
High proficiency in English language in aspects of reading, speaking, writing and
listening;
· 具有積極、靈活的解決問題能力，及以客戶為中心的態度；
Pro-active, problem solving, flexible and customer-oriented attitude;
· 熟悉操作電腦辦公軟件和通過互聯網搜集信息；
Good knowledge of operating PCs, MS Office software and performing internet searches;
· 工作主動性強，具有團隊合作精神，并且能獨立工作和承受壓力，無團隊成員或其他員工的負面評價；
Strong initiative, team spirit and is able to work independently and under stress, and there is no negative feedback from any team member or other colleague;
· 專業成熟的舉止；
Professional and mature demeanor;
· 能夠與客戶進行清楚有效的書面及口頭溝通，客戶無負面評價；
Able to written and oral communicate with client clearly and effectively, and there
is no negative feedback from client;
· 積極培訓及監督初級顧問。
Able to teach and mentor junior staff proactively.
教育背景Educational Background
· 法學專業，大學本科或以上學歷
Bachelor Degree or above, major in law
· 通過國家司法考試
PRC law qualified;

經驗experience
· 至少一年相關領域的工作經驗，若有在律師事務所或咨詢公司工作經驗者優先考慮
At least 1 year working experience in the related fields, preferably working
experience in law firm or consulting firm;
· 歡迎優秀應屆生申請
Outstanding fresh graduates are also encouraged to apply.
工作關系Working Relations
· 主要工作是在協力上海BAS部門提供咨詢服務。與上海及全國的其他部門（稅務、審計、財務及業務開發部門）積極合作及協調以成功開發客戶及完成客戶交付的工作。偶爾需要到江蘇和浙江出差。
Most work is carried out within the Business Advisory Services Division of Dezan Shira & Associates in Shanghai. Collaborating and coordinating with other departments (tax, audit, accounting, and business development) in both Shanghai and throughout China to win clients and produce client deliverables. Occasional short business trips to Jiangsu and Zhejiang will be required.
